Georgia Lawyer Focused on Start-Ups, Corporate Law, Mergers & Acquisitions
Innovation is a must in today's competitive marketplace. Companies that continuously think big and think new are the ones you read about in the Wall Street Journal and Business Week. You know the type: those small-cap firms that become mid-caps very quickly.
At Fernandez Law Firm, we offer two unique services that set us apart from other business law firms and help our Clients who are start-up companies get on the right track and stay there (please see the highlighted area).
Doctors and Medical
Medical practices have their own nuances, confidentiality, business, and legal issues. Our Firm can guide physicians with issues of: new business formation; partners; non-competes, non-solicits, and confidentiality and non-disclosures (NDAs); commercial leases and contracts; employment agreements and employee issues; financing, loans and promissory notes; licensing of new technology; and acquisition, merger, and sale.
Valuable guidance for start-ups
In the area of business formations, we regularly create new corporations and limited liability companies, and we prepare and tailor shareholder agreements, buy-sell agreements, and limited liability agreements that fit your specific needs.
We help you select the best business entity by comparing your options: the types and number of shareholders, tax implications, and Client exit strategy. We can also work with your accountant to accommodate tax and estate planning considerations.
Start-ups start here for two unique services
For a one-time fixed fee we form our Client's new entity by filing with the Georgia Secretary of State, preparing the minute book, stock certificates, and all corporate documents, obtaining the corporate seal, and preparing the publication notices. We prepare the forms required to obtain the federal employer identification number and the s-election from the IRS.
Included in the fixed fee is your private Corporations 101 session in which we provide instruction geared specifically to your start-up, selection of the proper entity (whether s-corporation or limited liability company), its ongoing maintenance as a business entity, and guidance in dealing with the IRS, banks, and accountants. This helps you properly manage your business growth while we handle your legal issues.
Maximizing Value
We will teach you how to maximize value in your business from the beginning, so that an acquirer will be inclined to pay top value at the time the Client is ready to sell. We work with Clients over the life of their business and in doing so, we harmonize contracts, minimize litigation exposure and assist the Client in running a legally spotless business.
Corporate law
As your business growth brings new challenges, The Fernandez Law Firm can provide the legal tools and know-how you need at every stage.
We can create tailored solutions for business formations and beyond in financing, joint ventures, strategic partnering and all necessary documentation while working with your accountant and other business advisors. We consult on contracts, buy and sell of products and services, employees, collections and more.
We can also review and maintain corporate minute books so the required annual directors and shareholders minutes are properly prepared, executed and maintained. This preserves your privacy from creditors and other adverse legal parties.
Mergers & acquisitions
We provide legal representation for business formations, business purchases, sales and mergers by negotiating transaction terms, preparing closing documents, and closing the transaction with minimal business interruption and optimum confidentiality.
Regardless whether you are the buyer or seller, we will work with you on critical due diligence, direct you to vendors who can assist you with asset, lien and litigation searches, and help you with all of the covenants, representations, and warranties in the sale. It is best to call upon us as far in advance of the acquisition as possible, so we can guide you in streamlining the process, thus minimizing effort and cost.
A business sale is often the culmination of the Client's long-term exit strategy, and we often consult on all aspects of the transaction years before it occurs. This early planning often draws upon other business advisors to address all the issues.
